THL Credit, Inc. was organized as a Delaware corporation on May 26, 2009. The Company provides junior debt and equity to middle-market companies seeking capital for growth, acquisition, recapitalization and/or change of control. Its investment objective is to generate both current income and capital appreciation, primarily through the origination of privately negotiated investments in debt and equity securities in middle market companies. It invests primarily in private subordinated debt, or mezzanine debt, which in many cases includes an associated equity component, such as warrants, preferred stock or other similar securities. In certain instances, the Company will also make direct equity investments. It defines middle market companies to mean both public and privately held companies with annual revenues of between $25 million and $500 million. Typical investments range from $10 – $50 million in companies that have annual revenues between $25 million and $500 million with annual EBITDA exceeding $5 million. It primarily competes with other BDCs, public and private funds, commercial and investment banks, CLO funds, and commercial finance companies. Its investment activities are managed by THL Credit Advisors and supervised by its board of directors, a majority of whom are independent of THL Credit Advisors and its affiliates.
