DDR Corp, an Ohio corporation, a self-administered and self-managed real estate investment trust, is in the business of owning, managing and developing a portfolio of shopping centers and, to a lesser extent, office properties. The Company has three reportable operating segments: shopping centers, loan investments and Brazil equity investment. In addition, the Company engages in the origination and acquisition of loans and debt securities, which are generally collateralized directly or indirectly by shopping centers. At December 31, 2012, the Portfolio Properties included 452 shopping centers (including 206 centers owned through unconsolidated joint ventures and three that were otherwise consolidated by the Company. The shopping centers consist of 434 community shopping centers and 18 enclosed malls and lifestyle centers. At December 31, 2012, the Portfolio Properties also included more than 1,500 acres of undeveloped land, primarily development sites and parcels, located adjacent to certain of the shopping centers. The Company’s shopping centers are designed to attract local area customers and are typically anchored by two or more national tenant anchors. As an owner or operator of real property, the Company is subject to various federal, state and local laws, ordinances and regulations.
