Stonemor Partners LP is a Delaware corporation incorporated in April 2004. It owns and operates cemeteries in the United States. As of December 31, 2012, it operated 276 cemeteries in 27 states and Puerto Rico. It owns 258 of these cemeteries, and it manages or operates the remaining 18 under management or operating agreements with the nonprofit cemetery corporations that own the cemeteries. As of December 31, 2012, it also owned and operated 86 funeral homes in 18 states and Puerto Rico. Forty-one of these funeral homes are located on the grounds of the cemeteries that it owns. It has five distinct reportable segments which are classified as Cemetery Operationsâ€”Southeast, Cemetery Operationsâ€”Northeast, Cemetery Operationsâ€”West, Funeral Homes, and Corporate. Its Cemetery Operations segments sell interment rights, caskets, burial vaults, cremation niches, markers and other cemetery related merchandise. The nature of its customers differs in each of its regionally based Cemetery Operations segments. Its Funeral Homes segment offers a range of funeral-related services such as family consultation, the removal of and preparation of remains and the use of funeral home facilities for visitation and prayer services. These services are distinctly different than the cemetery merchandise and services sold and provided by the Cemetery Operations segments. Its corporate segment includes various home office selling and administrative expenses that are not allocable to the other operating segments. The Company faces competition from other cemeteries and funeral homes located in the area. Most of these cemeteries and funeral homes are independently owned and operated. The Company’s operations are subject to regulation, supervision and licensing under federal, state and local laws which impacts the goods and services that it might sell and the manner in which it might furnish goods and services.
