Craft Brewers Alliance, Inc. was formed in 1981. The Company produces a number of specialty craft beers using traditional European and American brewing methods. It only uses high-quality hops, malted barley, wheat, rye and other natural ingredients. The company operates in two segments namely Beer Related operations and Pubs. Beer Related operations include the brewing and sale of craft beers from its five breweries, both domestically and internationally. Pubs operations primarily include five pubs, four of which are located adjacent to its Beer Related operations, other merchandise sales, and sales of its beers directly to customers. Its beers are divided into two primary brand families namely Widmer Brothers Beers and Redhook Beers and Kona Beers. The Company owns and operates three production brewing facilities: one that is Widmer-branded in Portland, Oregon and two that are Redhook-branded, one in Woodinville, Washington and the other in Portsmouth, New Hampshire. In addition, the Company operates a small pilot brewpub style brewery in Portland, Oregon that is Widmer-branded. The Company’s products are distributed in the United States in all major retail channels through a distribution agreement with Anheuser-Busch, Incorporated. The Company competes directly in the highly competitive craft brewing segment as well as in the much larger high-end U.S. beer category, which includes the high-end imported beer segment and fuller-flavored beers offered by major national brewers. It is highly regulated at federal, state and local levels. Various permits, licenses and approvals necessary for brewery and pub operations and the sale of alcoholic beverages are required from a number of agencies, including the U.S. Treasury Department, the Alcohol and Tobacco Tax and Trade Bureau (‘TTB’), the U.S. Department of Agriculture, the U.S. Food and Drug Administration, state alcohol regulatory agencies, and state and local health, sanitation, safety, fire and environmental agencies.
